For good and valuable consideration, I unconditionally and irrevocably grant OutSnapped, LLC, its affiliates and its and their successors and assigns, licensees and sublicensees (collectively "OutSnapped"), a worldwide, sublicensable, perpetual, irrevocable, fully-paid up and royalty-free, license and permission to obtain, reproduce, distribute, modify, transfer, sell, broadcast, display, perform, including, without limitation, publicly, create derivative works from, and use and exploit (all such actions, together, “Use”) my likeness, and any image, photograph, recording of me or my voice (together, “My Likeness”) obtained, and any content, images, or other materials I upload or provide, (“My Content”) through the use and provision of OutSnapped’s photobooth and related hardware and software (together, the “Photobooth”) and related services (the provision of the Photobooth and the use thereof with such services, the “Photobooth Services”), in any manner and for any purpose.
I agree that OutSnapped, LLC, solely owns the photographs, images, audio and videos which are taken, captured or recorded by the Photobooth or as part of the Photobooth Services (together, the “Photos”), and all modifications, additions, derivatives, to, of and based upon, the Photos including My Likeness and My Content. Without limitation to the above, I hereby assign to OutSnapped, LLC, and relinquish any, rights, title and interest I may have or acquire in the above and I will not challenge the above or take any action that may impair OutSnapped's Use of or its right, title or interest, in and to the Photos. Outsnapped LLC hereby grants you a non-exclusive, non-sublicensable, non-transferable license solely to reproduce and distribute the Photos as provided or made available to you for your personal, non-commercial purposes.
Without limitation to the above, I agree that OutSnapped may Use the Photos and My Likeness to provide the Photobooth Services and for other purposes, such as publishing and distributing the Photos in print and or on the Internet, selling copies of them, and may Use them for marketing purposes, for improving products and services, for creating content for products and services, training artificial intelligence software, for analytical purposes and more, all without the need for my comment or approval, or any compensation to, me.
I agree not to disparage Outsnapped, its customers, the sponsor or organizer of the event at which the Photo was taken, or any of the owners, parent companies, subsidiaries, affiliates, ( a person or entity which is controlled, is controlled by or is under common control with or by another person or entity), or the licensors or licensees of any of the persons or entities mentioned in this paragraph, or any of their shareholders, members, interest holders, directors, officers, employers, contractors or agents.
I agree not to disparage Outsnapped, its customers, the sponsor or organizer of the event at which the Photo was taken, or any of the owners, parent companies, subsidiaries, affiliates, ( a person or entity which is controlled, is controlled by or is under common control with or by another person or entity), or the licensors or licensees of any of the persons or entities mentioned in this paragraph, or any of their shareholders, members, interest holders, directors, officers, employers, contractors or agents.
I agree that OutSnapped may obtain and Use data from the Photos which could on its own, or together with other information, identify me, including facial recognition markers relating to me.
I irrevocably waive and release OutSnapped from any and all claims that I may have or which may arise regarding the Use of the Photos and My Likeness, including, without limitation, any claims of defamation, invasion of privacy, or infringement of moral rights, rights of publicity or privacy, copyright or other intellectual property rights or which relate to personal data.
I am 18 years of age or older and have read and understand this Release. I agree that this Release and any disputes regarding it or the subject matter of the Release will be governed by the laws of the State of New York, without reference to choice or conflicts of law principles or rules. In the event of a dispute, I consent to the exclusive jurisdiction and venue of the competent courts in New York County, and waive and will never object to such jurisdiction and venue, including, without limitation on the grounds of inconvenient forum.
